1. Acceptance of Terms

By accessing or using OLI Yoga and Pilates ("OLI," "we," "our," or "us") services, website, or facilities (collectively, the "Service"), you agree to be bound by this legally binding Terms of Service Agreement ("Agreement"). If you do not agree, you must discontinue use of the Service immediately.

OLI reserves the right to modify this Agreement at any time. Changes will be effective upon posting. Continued use of the Service constitutes acceptance of the revised Agreement.

2. Eligibility

  • You must be at least 18 years old to use the Service. If under 18, a parent or guardian must provide consent.

  • You affirm that you have no medical conditions that would prevent safe participation in OLI activities. If in doubt, you must consult a physician before participating.

3. Assumption of Risk & Release of Liability

By participating in yoga, Pilates, or related activities at OLI, you acknowledge the inherent risks involved, including but not limited to physical injury, illness, or aggravation of pre-existing conditions.

  • Waiver of Claims: You waive any and all claims against 125716624 Canada Inc., its affiliates, directors, officers, employees, instructors, volunteers, contractors, and facility owners ("OLI and Related Parties")for injuries, property damage, or other losses arising from your participation.

  • Indemnity: You agree to indemnify and hold harmless OLI and Related Parties from any claims, damages, or liabilities arising from your participation.

  • Limitation of Liability: To the maximum extent permitted by law, OLI shall not be liable for any direct, indirect, incidental, or consequential damages related to your use of the Service.

  • Compliance with Ontario Laws: This Agreement is governed by the Occupiers' Liability Act, 1990 (Ontario)and the Negligence Act, 1990 (Ontario).

4. Health & Safety Policies

  • You acknowledge responsibility for ensuring your own physical and mental well-being while participating in activities at OLI.

  • You must inform OLI of any relevant medical conditions, injuries, or limitations before participation.

  • OLI reserves the right to refuse participation if it believes a person may be at risk of harm.

  • In case of emergency, you authorize OLI to seek medical assistance on your behalf and accept financial responsibility for any resulting costs.

  • COVID-19 Policy: You confirm you have not exhibited COVID-19 symptoms in the past 14 days and will adhere to all public health guidelines applicable in Ontario.

5. Payment, Cancellation & Refund Policy

  • Payments for classes, memberships, and services must be made in advance.

  • Cancellation and refund policies are outlined on our website and/or in membership agreements.

  • OLI complies with the Consumer Protection Act, 2002 (Ontario) regarding cancellation rights and refund policies.

6. Code of Conduct

  • Participants must treat instructors, staff, and fellow members with respect.

  • Harassment, discrimination, or disruptive behavior will not be tolerated and may result in termination of access to the Service without refund.

  • OLI reserves the right to remove any participant whose conduct is deemed unsafe or inappropriate.

7. Intellectual Property Rights

  • All content, logos, materials, and class formats are the exclusive property of OLI.

  • Unauthorized use, reproduction, or distribution of OLI materials is strictly prohibited and subject to penalties under the Copyright Act (Canada).

8. Dispute Resolution

  • Any disputes arising under this Agreement shall be resolved through binding arbitration in Ontario in accordance with the Arbitration Act, 1991 (Ontario).

  • You waive the right to participate in class-action lawsuits against OLI.

  • If arbitration is deemed unenforceable, disputes shall be resolved in the courts of Ontario.

9. Severability & Entire Agreement

  • If any provision of this Agreement is found invalid or unenforceable, the remaining provisions shall remain in full force and effect.

  • This Agreement constitutes the entire agreement between you and OLI and supersedes any prior agreements or understandings.

By using the Service, you acknowledge that you have read, understood, and agree to be bound by this Agreement.

WAIVER OF LIABILITY AND RELEASE

This Waiver of Liability and Release (the "Agreement") is entered into by and between the undersigned participant (the "Participant") and 125716624 Canada Inc., operating as OLI, including its affiliates, subsidiaries, officers, directors, employees, instructors, agents, volunteers, successors, assigns, and the owners or operators of the facilities where activities are conducted (collectively referred to as "125716624 Canada Inc. AND OTHERS").

1. ASSUMPTION OF RISK
The Participant acknowledges that participation in yoga, Pilates, and related activities—whether conducted in heated or non-heated environments—entails inherent risks, including but not limited to personal injury, illness, disability, death, property damage, or financial loss. These risks may arise from various factors, including but not limited to the negligence of 125716624 Canada Inc. AND OTHERS, improper use of equipment, physical exertion, pre-existing medical conditions, and unforeseen incidents.

By signing this Agreement, the Participant voluntarily assumes all risks associated with participation and acknowledges that they are solely responsible for evaluating their physical condition and ability to engage in OLI activities.

2. WAIVER OF CLAIMS
In consideration of being permitted to participate in OLI activities, the Participant expressly waives, releases, and forever discharges any and all claims, demands, liabilities, and causes of action of any kind, whether known or unknown, that they may have now or in the future against 125716624 Canada Inc. AND OTHERS arising from or related to their participation.

3. RELEASE OF LIABILITY
The Participant releases, discharges, and agrees to hold harmless 125716624 Canada Inc. AND OTHERS from any and all liability, including but not limited to liability arising from negligence, breach of contract, or breach of statutory duty of care, for any personal injury, illness, disability, death, property damage, financial loss, or other damages resulting from participation in OLI activities.

4. PARTICIPANT RESPONSIBILITY
The Participant affirms that they are in good physical condition and have no medical or other conditions that would prevent safe participation in OLI activities. The Participant agrees to:

  • Consult a qualified healthcare professional before engaging in physical activities at OLI.

  • Disclose any medical conditions, injuries, or other concerns that may impact their ability to participate safely.

  • Notify OLI of any changes to their health status.

  • Modify their practice as needed and cease participation if they experience discomfort or injury.

5. COVID-19 STATEMENT
The Participant confirms that, to the best of their knowledge, they have not experienced symptoms associated with COVID-19 within the past 14 days. They acknowledge that participation in group activities may increase the risk of exposure to communicable diseases and assume all associated risks.

6. INDEMNITY AGREEMENT
The Participant agrees to indemnify, defend, and hold harmless 125716624 Canada Inc. AND OTHERS from any claims, demands, liabilities, damages, or expenses (including legal fees) brought by third parties arising from their participation in OLI activities.

7. BINDING EFFECT
This Agreement shall be binding upon the Participant and their next of kin, heirs, executors, administrators, assigns, and legal representatives. The Participant acknowledges that they have read and understood this Agreement and voluntarily agree to its terms.

OLI MEDICAL INQUIRIES POLICY

To promote a safe and supportive environment for all participants, OLI has implemented the following policy regarding medical disclosures:

1. CONFIDENTIALITY
All medical information provided to OLI shall be treated as confidential and disclosed only on a need-to-know basis to ensure participant safety during classes.

2. VOLUNTARY DISCLOSURE
While disclosure of medical conditions is not mandatory, participants are strongly encouraged to inform OLI of any relevant conditions, injuries, or health concerns that may affect their ability to engage safely in physical activities.

3. PRE-CLASS CONSULTATION
Participants with known medical conditions, injuries, or health concerns are encouraged to schedule a consultation with an instructor prior to attending classes to discuss any necessary modifications or accommodations.

4. INSTRUCTOR AWARENESS
OLI instructors will be informed of relevant medical conditions disclosed by participants to facilitate personalized guidance and appropriate modifications.

5. MODIFICATION OPTIONS
Participants are encouraged to communicate with instructors during classes if they require modifications or adjustments. Instructors are trained to offer alternative poses and adaptations as needed.

6. PARTICIPANT RESPONSIBILITY
Participants are responsible for monitoring their bodies, practicing within their limitations, and informing instructors of any discomfort, pain, or concerns during class.

7. EMERGENCY PREPAREDNESS
OLI maintains emergency response procedures to ensure prompt and appropriate action in the event of medical emergencies.

8. WAIVER ACKNOWLEDGMENT
By attending OLI classes, participants acknowledge and accept this Medical Inquiries Policy, understand the inherent risks of physical activity, and release OLI from liability related to injuries or aggravation of pre-existing conditions.

9. CONTINUING COMMUNICATION
Participants are encouraged to maintain open communication with OLI staff and promptly report any changes in their medical status or concerns that arise during practice.

10. LEGAL COMPLIANCE
OLI complies with all applicable laws and regulations regarding the collection, storage, and use of medical information, ensuring the privacy and security of participant data.

By reading this, the Participant affirms that they have read, understood, and voluntarily agreed to this Waiver of Liability and Release and Medical Inquiries Policy.
